Founded in 1993, Virginia-based
Waterside Capital Corporation is a publicly traded,
licensed Small Business Investment Company (SBIC).
We are a specialty finance company that invests
in debt securities including senior debt and
junior debt with warrants.
The primary focus of our investment strategy is to provide mezzanine capital
to the smaller middle-market companies headquartered primarily in the Mid-Atlantic
market.
Mezzanine capital is used to supplement a company's debt capacity beyond banks'
credit limitations, and is a substantially cheaper and less dilutive alternative
to equity financing.
Funds are used for expansion, management and leveraged buyouts, acquisitions,
and
working capital to small private and public businesses.
Our preferred investment size is $500,000 to $3 million and is generally structured in the form of mezzanine debt (subordinated or junior) with attached warrants (for the future purchase of common equity ownership). Waterside Capital can also participate in and arrange larger financings.
We also provide senior debt term debt. Using the assets and cash flow of the
underlying business as collateral, a business typically uses senior debt to cover
a substantial portion of the funding needed to operate.
Senior loans are exposed to the least risk of debt because they command a senior
position with respect to scheduled interest, principal payments and collateral.
However, unlike subordinated loans, these senior loans typically do not entitle
the lender to obtain any stock or warrants to purchase stock of the borrowers.
As such, senior loans generally do not participate in the equity appreciation
of the value of the business.
